AGREEMENT STRUCTURE

This Agreement includes Part 1 – General Terms and Part 2 – Country Specific Terms (focused on the UAE). The terms of Part 2 may replace or modify those of Part 1. In the event of a conflict between the terms of any or all of Part 1 and Part 2, the terms of Part 2 shall prevail over Part 1.

PART 1 – GENERAL TERMS AND CONDITIONS

1. Applicability and Acceptance of the Terms

This website and the mobile application is operated by Tryli FZ LLC, its subsidiaries and affiliates (collectively, "Tryli," "we," "us," or "our"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms and Conditions"), serve as the contract between you and Tryli and govern your access to and use of our website (tryli.io), including any content, functionality, and services offered on or through our website, or mobile applications (the "App") that run on smartphones, tablets, and other devices (all of which are collectively called the "Website" or "Platform"), whether as a guest or a registered user participating in our campaigns ("User" or "Member").

By downloading the App, registering an account, or participating in any activation event offered by Tryli, you agree to be bound and abide by these Terms and Conditions, our Rules of Use, and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms and Conditions or the Privacy Policy, you must not access or use the Platform.

Eligibility:

You must be at least 18 years of age.
You must hold a valid UAE Bank Account to receive cashback rewards.
You must have a valid UAE mobile number for verification.
Only one account is allowed per person. Duplicate accounts will be terminated.

Accordingly, you represent and warrant that you are of legal age to form a binding contract with Tryli and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.

2. Changes to the Terms and Conditions

We may revise and update these Terms and Conditions from time to time in our sole discretion to incorporate new features, services, and functionalities to the App, Website, and your membership, as well as to comply with changes in applicable laws. All changes are effective immediately when we post them and apply to all access to and use of the Platform thereafter.

Your continued use of the Platform following the posting of revised Terms and Conditions means that you accept and agree to the changes. You are expected to check this page each time you access the Platform, so you are aware of any changes, as they are binding on you.

3. Accessing the Platform and Account Security

We reserve the right to withdraw or amend the Platform, and any Service or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period.

Registration & Verification: To access certain features (specifically, to join campaigns and earn rewards), you will be asked to provide certain registration details including your name, email, and mobile number. We may require verification via UAE Pass or SMS OTP at any stage to verify your identity. It is a condition of your use of the Platform that all the information you provide is correct, current, and complete.

Account Security: You acknowledge that your account is personal to you and agree not to provide any other person with access to the Platform using your username, password, or verification code. You agree to notify us immediately of any unauthorized access to or use of your account. You are responsible for all activities that occur under your account.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms and Conditions.

4. Tryli Services: Activations & Rewards

Tryli provides a platform where Users can discover dining opportunities ("Events") and earn cashback rewards ("Rewards") by completing specific actions ("Activations") such as ordering a meal, uploading proof of purchase, and providing feedback.

Free of Charge: The Tryli App is free to download and use. Users do not pay Tryli to join. Users pay the Restaurant or Delivery Platform directly for their meals.

Earning Rewards: To qualify for a Reward, you must:

Join an active Event on the App.
Complete the purchase exactly as described in the Event rules (e.g., minimum spend, specific menu item, specific delivery platform).
Upload valid proof of purchase (Receipt + Photo) within the designated timeframe.
Submit the required feedback form.
Hold a valid UAE Bank Account or AANI-linked mobile number to receive funds.

Verification: All submissions are subject to verification by Tryli. We reserve the right to reject any submission that does not strictly adhere to the Event rules, or if we suspect fraud (e.g., duplicate receipts, edited images, returning the food after ordering). Tryli's decision on verification is final.

5. Payouts and Taxes

Rewards are paid directly to the User's nominated UAE Bank Account or AANI wallet.

Timing: Payouts are processed manually or via automated batch transfer. While we aim for speed, please allow up to 14 business days for funds to appear in your account.
Fees: Tryli does not charge Users a fee for receiving payouts. However, your bank may charge incoming transfer fees, for which Tryli is not responsible.
Taxes: You are solely responsible for determining any tax liabilities that may apply to the rewards you earn.

6. Intellectual Property Rights

The Platform, its entire content, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Tryli, its licensors, or other providers of such content and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms and Conditions permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

Your device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may print or download one copy of a reasonable number of pages for your own personal, non-commercial use.

7. Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms and Conditions. You shall not:

Create multiple accounts to exploit campaigns.
Submit fake, altered, or duplicate receipts.
Use AI-generated images as proof of food or receipts.
Order and then cancel/refund a meal while still claiming the Tryli reward.
Use any robot, spider, or other automatic device to access the Platform for any purpose.
Impersonate Tryli, its employees, another user, or any other person or entity.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform.

Consequences of Fraud: Tryli has a zero-tolerance policy for fraud. Any User found submitting fake proof or manipulating the system will have their account permanently banned and forfeits all pending rewards. We reserve the right to report fraudulent activity to relevant UAE authorities.

8. User Contributions & Feedback

The Platform allows you to submit feedback, ratings, and photos regarding your dining experience ("User Contributions").

By providing any User Contribution, you grant Tryli and its affiliates a non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties (specifically, the Partner Restaurants) any such material.
You represent and warrant that your feedback is honest, accurate, and based on a genuine transaction.
You agree not to post material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

9. Disclaimer of Warranties

YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. TRYLI DOES NOT GUARANTEE THAT:

THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.
SPECIFIC RESTAURANT OFFERS WILL ALWAYS BE AVAILABLE.
PAYOUTS WILL BE INSTANT (BANKING DELAYS MAY OCCUR).

TRYLI IS NOT A RESTAURANT OR DELIVERY SERVICE. WE ARE NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR DELIVERY OF THE FOOD YOU ORDER. ANY DISPUTES REGARDING THE MEAL ITSELF MUST BE RESOLVED DIRECTLY WITH THE RESTAURANT OR DELIVERY PLATFORM.

10. Limitation on Liability

IN NO EVENT WILL TRYLI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF DATA.

11. Indemnification

You agree to defend, indemnify, and hold harmless Tryli, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Platform.

12. Governing Law and Jurisdiction

All matters relating to the Platform and these Terms and Conditions, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of, or related to, these Terms and Conditions shall be instituted exclusively in the courts of the DIFC.

13. Data & Cloud Hosting

You acknowledge that your data (including personal information and uploaded images) will be hosted on cloud servers (currently AWS via Bubble.io). By using the Platform, you consent to this transfer and storage of data. We may also collect demographic data (e.g., age, gender, preferences) to match you with relevant campaigns, in accordance with our Privacy Policy.

14. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

The Platform is operated by Tryli FZ LLC.

PART 2 – COUNTRY SPECIFIC TERMS (UAE)

1. Verification via UAE Pass We reserve the right to mandate the use of UAE Pass for identity verification to prevent fraud and ensure compliance with local regulations. Failure to verify your identity upon request may result in the suspension of your account and forfeiture of pending rewards.

2. Defamation Laws You agree not to express or share publicly (e.g., on social media or online reviews) any false, defamatory, or harmful comments regarding Tryli or our Partner Restaurants. In accordance with UAE Federal Decree-Law No. 34 of 2021 concerning Combatting Rumors and Cybercrimes, defamatory or harmful comments may lead to legal consequences. If you have a complaint, please direct it to marko@tryli.io to resolve the matter amicably.

3. Alcohol Content If any campaign refers to or involves licensed venues serving alcohol, you acknowledge that such content is intended only for non-Muslims over the legal drinking age of 21.
